1. Agreement

These Terms are an agreement between you and Zealty Online Search Inc. ("Zealty", "we", "us") and, for section 12, Holywell Properties, the BC brokerage hosting the MLS® VOW (the "Brokerage"). They cover Zealty.ca, the Zealty apps, the Zealty MCP server and related services (the "Services"). By using the Services, creating an account or submitting a form, you accept these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and accounts

You must be at least 19, or the age of majority in your province if higher, and legally able to enter into binding agreements. The Services are for residents of Canada outside Quebec. Give accurate information, keep your password confidential, and use one account per person. Sold, expired and other restricted MLS® data requires a registered, verified account.

3. What Zealty is

• Zealty is a real estate search platform. Zealty Online Search Inc. is not a brokerage, mortgage broker or lender and does not give legal, tax, financial, appraisal or real estate advice.
• Registering creates a broker and consumer relationship with the Brokerage for the VOW only. It does not create an agency relationship or any financial obligation for you.
• Referrals. If you ask for help, we may refer you to an independent licensed REALTOR®, mortgage broker or lawyer, who is responsible for their own services. Zealty and its affiliates, including Holywell Properties, brokerage, receive 25% of the commission earned by the partner REALTOR® if they help you buy or sell a property. The fee is paid to Holywell Properties only when a transaction closes and costs you nothing extra. Partners do not pay to be listed or recommended.
• Mortgage professionals pay us a flat fee to advertise on Zealty. We receive no referral fees or commissions from them.
• OfferValue® and OfferRent® estimates, mortgage calculators, rate displays, market data and AI-generated content are for information only. Estimates are not appraisals.

4. Licence and prohibited uses

We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services for personal, non-commercial purposes related to buying, selling or leasing real estate. You must not:

• scrape, crawl, harvest or extract data, or use bots or scripts we have not authorized (approved AI integrations under section 6 are allowed);
• copy, redistribute, sell, frame or create derivative works from any content or listing data;
• use the Services or data to train AI models, build databases, or compete with Zealty;
• impersonate anyone, provide false information, or share your account;
• interfere with the security or performance of the Services, or use them for unlawful, discriminatory or harassing purposes;
• use the Services commercially, including as a real estate licensee or data business, without our written agreement.

We may investigate violations and take technical and legal action, including recovering damages.

5. Intellectual property and your content

The Services, content, software, design and trademarks (Zealty, OfferValue®, OfferRent®, ZONED) are owned by or licensed to Zealty. MLS® data belongs to the real estate boards. You may not use Zealty's name, logo or content without written consent. You keep ownership of content you submit and give us a licence to use it to run the Services. We may use any feedback you send without obligation.

6. AI integrations (MCP server)

Approved AI assistants can search Zealty data on your behalf. The same restrictions apply as on the website: personal, non-commercial use only, no systematic extraction or redistribution, and sign-in is required for sold and historical data. We may limit, change or end AI access at any time. AI responses are informational only and are not advice.

7. Data, cookies and communications

Our Privacy Policy explains how we handle personal information. In short: we share your details with real estate agents, mortgage brokers and lawyers when you ask for help; we share hashed versions of your email and phone with Google and Meta for advertising (opt out at [email protected]); we may share or sell anonymized data; and we use the Meta Pixel, Google Analytics, Google Ads tags and Microsoft Clarity only if you accept cookies. By providing contact details, you confirm they are your own. We may contact you about your account and requests, calls may be recorded, transcribed and summarized by AI for quality, coaching and record keeping, and you can unsubscribe from marketing anytime.

8. Third-party services

The Services link to or integrate third-party services such as Google Maps, sign in providers and AI assistants. Their own terms apply, and we are not responsible for them or their use of your data.

9. Disclaimers and liability

To the extent permitted by law, the Services are provided "as is". Listing information is deemed reliable but not guaranteed; verify it before making decisions. Zealty, the Brokerage and their affiliates are not liable for indirect, incidental, special or consequential damages, or lost profits or data. Our total liability is limited to the greater of CAD $100 or what you paid us in the past 12 months. These limits do not apply where the law does not allow them.

10. Indemnity

To the extent permitted by law, you agree to indemnify Zealty, the Brokerage, their affiliates, officers and agents against claims arising from your use of the Services or breach of these Terms.

11. Termination

To delete your account, go to Settings under your profile and click Delete Account. You can also email [email protected]. We may suspend or end your access if you break these Terms or as required by MLS® rules or law. Sections 4, 5, 9, 10, 12 and 14 survive termination.

14. Governing law, changes and general

These Terms are governed by the laws of British Columbia and applicable federal laws of Canada. Subject to your rights under consumer protection law, disputes go to the courts of British Columbia in Vancouver or the Civil Resolution Tribunal. We may update these Terms by posting a new version; for material changes we will give notice before they take effect. If any part is unenforceable, the rest remains in effect. These Terms and the Privacy Policy are provided in English.
